Terms of Use for AI Daily Task Assistant Scythe

1. Eligibility and Acceptance

You may use the Services only if you can form a legally binding contract under applicable law. The Services are not intended for anyone under 13 years of age, and you must be at least 18 years old to make a purchase through the Services.

If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms of Use.

2. Changes to These Terms

We may revise these Terms of Use from time to time. When we do, we will post the updated version in the app or on our website and update the effective date above. Continued use of the Services after an update means you accept the revised Terms of Use.

3. The Services

Scythe is a productivity app that helps users manage daily tasks with AI-assisted messaging, voice-to-text transcription, and AI memory features.

• Limited credits purchase: A one-time credits purchase unlocks limited access to AI messaging, voice-to-text, and AI memory.
• Subscription purchase: A recurring subscription unlocks unlimited AI messaging, voice-to-text, and AI memory for the applicable subscription term.

4. Accounts and Security

Some features may require you to create an account or provide information to identify yourself. You agree to provide accurate, current, and complete information and to keep that information updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly if you believe your account has been accessed without authorization.

5. Purchases, Billing, Renewals, and Credits

• Purchases made through the iOS app are processed by Apple and are also subject to Apple's billing terms, subscription rules, and refund processes.
• Subscriptions automatically renew unless canceled through your Apple account settings before the renewal date.
• Credits are limited-use digital entitlements within the app. Unless required by law, credits are non-refundable, non-transferable, and have no cash value.
• We may change pricing, available plans, or feature packaging prospectively. Changes do not affect an already-paid subscription term, but may apply at renewal to the extent permitted by Apple and applicable law.

6. AI Features and Third-Party Providers

Scythe uses third-party AI providers to deliver certain features:

• Anthropic Claude: used for AI messaging and AI memory-related functionality.
• OpenAI Whisper: used for voice-to-text transcription.

AI-generated outputs may be incomplete, inaccurate, misleading, or inappropriate for your specific circumstances. You are responsible for reviewing outputs before relying on them. The Services are productivity tools, not professional advice.

7. Acceptable Use

You may use the Services only for lawful purposes and in compliance with these Terms of Use. You agree not to:

• Use the Services in violation of any applicable law or regulation.
• Attempt to gain unauthorized access to the Services, other accounts, or related systems.
• Interfere with or disrupt the integrity, security, or performance of the Services.
• Upload or transmit malware, malicious code, or harmful content.
• Use automated means to scrape, copy, or exploit the Services except as expressly authorized.
• Use the Services to harass, defame, threaten, impersonate, or infringe the rights of others.
• Use the Services to generate or distribute unlawful, abusive, fraudulent, or deceptive content.

8. User Content

You may submit text, tasks, prompts, recordings, and other content through the Services (“User Content”). You retain ownership of your User Content.

You grant us a limited, non-exclusive license to process, store, and transmit User Content solely as necessary to provide and maintain the Services, including generating AI responses, enabling memory features, and improving system performance. This is only to provide services to you and does not give us any ownership rights in your User Content. Your data is only used to provide the Services to you and is not used for advertising or sold to third parties. User Content may be processed by third-party AI providers, including Anthropic (for AI messaging and memory) and OpenAI (for voice-to-text transcription), solely for the purpose of providing the Services.

You represent that you have all rights needed to submit your User Content and that your User Content does not violate law or the rights of any third party.

9. Intellectual Property

The Services, including software, design, branding, text, graphics, interfaces, and other materials we provide, are owned by Soniare, Inc. or its licensors and are protected by intellectual property laws.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal or internal business use, in accordance with these Terms. You may not resell, sublicense, or provide the Services to third parties as a standalone or integrated offering without our prior written consent.

10. Service Availability and Suspension

We may modify, suspend, discontinue, or restrict all or part of the Services at any time, with or without notice. We are not liable if any part of the Services is unavailable.

We may suspend or terminate your access if we believe you violated these Terms of Use, created risk for us or others, or if required by law.

11. Disclaimers

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS TO THE FULLEST EXTENT PERMITTED BY LAW. SONIARE, INC. DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND AVAILABILITY.

We do not guarantee that the Services will be uninterrupted, error-free, secure, or free of harmful components, or that outputs generated through the Services will be accurate or suitable for your needs.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SONIARE, INC. AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, REVENUE, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.

To the fullest extent permitted by law, our aggregate liability for all claims arising out of or relating to the Services will not exceed the greater of the amount you paid to us through the Services in the 12 months before the event giving rise to the claim or USD $50.

13. Indemnification

You agree to defend, indemnify, and hold harmless Soniare, Inc. and its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against claims, liabilities, damages, judgments, awards, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Services, your User Content, or your violation of these Terms of Use.

14. Governing Law and Disputes

These Terms of Use are governed by the laws of the State of Montana, without regard to conflict of laws principles.

Any dispute arising out of or relating to these Terms of Use or the Services will be resolved exclusively in the state or federal courts located in Montana, unless applicable law requires otherwise. You and Soniare, Inc. consent to personal jurisdiction and venue in those courts.

15. Time Limit to Bring Claims

To the extent permitted by law, any claim arising out of or relating to the Services or these Terms of Use must be filed within one (1) year after the claim arose. Otherwise, the claim is permanently barred.

16. Severability and Waiver

If any provision of these Terms of Use is held invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

Our failure to enforce any provision of these Terms of Use is not a waiver of that or any other provision.

17. Entire Agreement

These Terms of Use, together with our Privacy Policy and any additional terms presented to you within the Services, constitute the entire agreement between you and Soniare, Inc. regarding the Services.
